1. Introductory provisions
1.1 These General Terms and Conditions (the "GTC") set out the details of Beeward's Ambassador Partner Program (the "Program") and the rights and obligations of the parties.
1.2 The purpose of the Program is to attract new customers to Beeward's service of supporting workplace recognition schemes through referrals from Ambassadors (hereinafter "Ambassador").
1.3 The Programme is organised by Beeward Ltd (hereinafter referred to as the "Provider").
1.4 By participating in the Programme, the Ambassador accepts the provisions of the GTC.
2. Description of the partner programme
2.1 The Programme is open to professionals who are accountable and who wish to actively participate in the promotion of Beeward.
2.2 The Ambassador recommends Beeward through their Ambassador page and receives a commission for each client they refer.
2.3 To participate in the Programme, the Ambassador must complete the application form and accept the Terms and Conditions.
3. Registration and contracting
3.1 To join the Programme, the Ambassador must apply using the form on the Beeward Ambassador page.
3.2 The Service Provider will decide on the acceptance of the application and, following a successful application, the Ambassador will join the Programme by means of an electronic contract.
3.3 The Ambassador may only start to mediate offers after the conclusion of the contract.
4. Commissions and payments
4.1 The Ambassador will receive a commission for each company he/she refers and subscribes.
4.2. The commission rate is as follows:
- The total net fee for the first month of subscription is the Ambassador's.
- After the first year, the Ambassador will receive 20% of the annual net subscription fee.
- From the second year onwards, the Ambassador will be entitled to 10% of the annual net subscription fee as long as the recommended company is an active subscriber.
4.3 Payments will be made on the basis of an invoice issued by the Ambassador in annual payments, except for the first monthly fee, which will be accounted to the Ambassador in 100%. The relevant invoice will be payable upon receipt of the monthly fee in the Service Provider's bank account. The annual commission may be invoiced by the Ambassador after the expiry of the first year. If the subscription lasts less than one year, annual billing is not possible.
4.4 The Service Provider reserves the right to change the commission rate, of which the Ambassador will be notified in advance.
5. Duties of the Ambassador
5.1 The Ambassador undertakes to promote Beeward's services in a fair and ethical manner.
5.2 The Ambassador shall not use misleading advertising, spam or any unfair marketing techniques.
5.3 The Ambassador shall adhere to the Service Provider's image and communication guidelines.
6. Rights and obligations of the Service Provider
6.1 The Supplier shall provide the Ambassador with the necessary marketing and sales materials.
6.2 The Service Provider reserves the right to change the rules of the Programme or the status of the Ambassador, if necessary.
6.3 The Service Provider has the right to exclude the Ambassador from the program if the Ambassador violates ethical or contractual rules.
7. Termination of the contract
7.1 The Ambassador may withdraw from the Programme at any time by giving written notice to the Service Provider.
7.2 The Service Provider may terminate the Ambassador's employment if the Ambassador violates the GTC or engages in unethical conduct.
7.3 In the event of termination of the contract, the Ambassador shall receive any commissions accrued but not yet paid, but shall not be entitled to any further commissions.
8. Data management and GDPR compliance
8.1 The Service Provider will use the Ambassador's data solely for the purposes of operating the Programme.
8.2 The Ambassador undertakes to handle customer data obtained by it in accordance with the GDPR.
8.3 The details of data processing are set out in Beeward's Privacy Policy.
9. Other provisions
9.1 The Service Provider reserves the right to modify the GTC, of which the Ambassador shall be notified in advance.
9.2 In the event of disputes, the parties shall endeavour to reach an out-of-court settlement, failing which the court of the Service Provider's domicile shall have jurisdiction.
